Terms of Service

CarmaOne provides a software-as-a-service (SaaS) infrastructure designed for credit analytics, automated underwriting, risk assessment, loan origination assistance, and receivables management. To be eligible to access this platform, you must be a competent legal entity or an individual of at least 18 years of age capable of entering into a legally binding contract under the Indian Contract Act, 1872. If you are acting on behalf of a corporate entity, financial institution, partnership, or trust, you represent and warrant that you possess full corporate authority and legal mandates to bind such entity to these Terms.

Access to any product, service, or segment of the CarmaOne platform mandatorily requires a registered user account. You explicitly agree that:

• All information provided during the registration or authentication process is accurate, true, complete and current in all material aspects. The User shall be solely responsible to keep such information updated from time to time.
• You are solely responsible for maintaining the confidentiality of your computers, email accounts, CarmaOne user account credentials, passwords, and authorization codes. Any activity, query, data extraction, or transaction executed under your authenticated session shall be legally attributed to you.
• User must notify CarmaOne immediately of any breach of security or unauthorized use of User’s account. CarmaOne hereby disclaims any responsibility for use of the services or the platform by any other person through User’s account, irrespective of whether the User has permitted such use. CarmaOne shall not be liable for any loss or damage resulting from any unauthorized use of your account; however, you shall always be liable for the losses of CarmaOne or others due to such unauthorized use.

During the validity of this contract, the services shall be used by the User only as an end-user for their legitimate business purposes. User shall not sell, give on hire, rent, lease and license, publish, transmit, distribute or otherwise deal with the services except as an end-user. User shall not transfer or permit unauthorized access to the services to any third-party.

In your use of the Services, you shall always comply with all applicable laws and act as a prudent, reasonable, and law-abiding citizen. You expressly agree to the following restrictions:

• Prohibition on Data Mining & Copying: You agree not to use any data mining, robots, or similar data extraction methods. You shall not copy, reproduce, adapt, distribute, transmit, broadcast, display, sell, license, or otherwise exploit the content on the Website.
• Prohibition on Hacking: You agree not to hack, circumvent, disable, corrupt, or otherwise interfere with security-related features of the Services.
• Prohibition on Malware: You shall not transmit or distribute a virus, trojan, worm, logic bomb, or any other material which is malicious or technologically harmful.
• Reporting Breaches: Breach of these security clauses shall amount to a criminal offence under applicable laws. CarmaOne shall report any such breach and disclose the User’s identity to the relevant law enforcement authorities.

• Payment of Fees: In consideration for the Services, User shall pay to CarmaOne the prescribed fees and charges (“Fees”) together with applicable taxes. Non-payment of Fees may result in suspension or termination of these Terms.
• Payment Facility: The payment facility provided on the platform is merely a facilitator providing an automated online electronic payment, collection, and remittance facility. By having this facility on the platform, CarmaOne is neither acting as a trustee nor acting in a fiduciary capacity.
• Cancellation and Refund: User shall have the right to cancel the subscription subject to applicable policies and agreements during the subscription validity.

CarmaOne and its licensors shall be the sole and absolute owner of the copyright and all other Intellectual Property Rights on the Website. The platform, including its user interfaces, the manner of arrangement, format, presentation, algorithms, proprietary machine learning and AI models, codebases, text, design schemas, visual charts, and branding materials (including both ‘front-end’ and ‘back-end’ elements), is the exclusive intellectual property of Stride Fintree Private Limited. No license, title, or intellectual property right is transferred to the User, except for a limited, revocable, non-transferable, and non-sublicensable right to browse the website and utilize the services strictly in accordance with these Terms. Any copying of any part of the services shall entail immediate termination of these Terms without prejudice to other civil or criminal remedies.

Without prejudice to its other rights and remedies, CarmaOne may, without prior notice, restrict User’s access or use of platform (or any features within the platform), indefinitely suspend or immediately terminate this contract with the User or stop the User from using the services, in its sole discretion. CarmaOne may also launch, change, upgrade or impose conditions to suspend or stop any services or any features without prior notice. CarmaOne shall not be responsible for the unavailability of the platform or any delay or failure resulting from any reason whatsoever, including but not limited to infrastructure issues, server downtime, network unavailability and connectivity issues.

The platform retrieves data at the explicit command and request of the User from public and statutory repositories, including but not limited to the Ministry of Corporate Affairs (MCA), court records, Office of Foreign Assets Control (OFAC), Employees’ Provident Fund Organisation (EPFO), Goods and Services Tax (GST), UDYAM registration, crime check records, and user uploaded company financial statements (if available). The Company does not originate, modify, edit, or independently verify the accuracy of the raw data pulled from these third-party statutory sources.

All financial reports, structural trends, credit insights, compliance risk tags, summaries, or any other output generated on this platform are processed utilizing automated Artificial Intelligence (AI) parsing models, aggregated publicly available data and natural language processing techniques. The User explicitly acknowledges, understands, and accepts that:

• AI computational models are inherently susceptible to parsing anomalies, text interpretation errors, technological blind spots, and processing lapses.
• All insights, indices, scoring metrics, and financial summaries are provided strictly on an ‘AS-IS’ and ‘AS-AVAILABLE’ basis without any warranties of merchantability, accuracy, fitness for a specific purpose, or completeness.
• The Company disclaims any representation or warranty that the data displays will be error-free, continuous, or uninterrupted. Data updates may experience operational lags caused by downstream server availability or systemic synchronization delays at the MCA or at the public repositories’ level.

The insights, risk categorizations, and analytical outputs generated by the CarmaOne portal are provided exclusively for general informational, analytical, and internal risk assessment reference. Under no circumstances shall any metric, dashboard view, or report generated by the platform be construed, treated, or relied upon as financial advice, legal advice, a formal credit rating, an investment endorsement, or lending recommendations. The Company is not a registered Credit Rating Agency under SEBI, nor a Credit Information Company under the RBI. The User is mandatorily required to execute independent manual validation and commercial due diligence before executing any commercial, lending, underwriting, investment, or legal decisions.

Additionally, the Website may contain links to other websites (“Linked Websites”). CarmaOne has no control over Linked Websites and accepts no responsibility for them or for any loss or damage that may arise from User’s use of them.

The User agrees to fully indemnify and hold harmless the Company against any third-party legal claims, regulatory penalties, or enforcement actions arising out of unauthorized lookups, fraudulent representations of authority, or misuse of credit summaries extracted from the platform or any other actions in relation to the User’s usage of the platform.

To the maximum extent permitted under applicable Indian laws, Stride Fintree Private Limited, its promoters, directors, officers, engineers, and affiliates shall not be liable for any direct, indirect, incidental, punitive, special, or consequential damages, including but not limited to loss of profit, loss of credit standing, commercial transactional failures, bad debt exposures, or regulatory fines resulting from data errors, processing mistakes, system downtimes, or financial reliance placed upon the AI-processed credit data. If the foregoing limitation is not enforceable, the maximum liability of CarmaOne shall be limited to the higher of (a) the fees paid by you in the three (3) months preceding the event giving rise to the liability, or (b) ₹1,00,000.

User acknowledges and agrees that the warranty disclaimers and the limitations of liability set forth herein reflect a reasonable and fair allocation of risk between the User and CarmaOne, and form an essential basis of the bargain. CarmaOne would not be able to provide the Service on an economically reasonable basis without these limitations.

These Terms are governed by and shall be construed in accordance with the laws of India. User and CarmaOne hereby consents to the exclusive jurisdiction of the courts in New Delhi.

• Force Majeure: Neither party shall be liable for any failure or delay in performance due to natural calamities, war, civil disturbance, or other reasons beyond reasonable control. This shall not, however, excuse any payment obligations unless legally barred.
• Severability: If any provision of these Terms is prohibited or unenforceable, it shall be ineffective only to the extent of such prohibition and shall not invalidate the remaining Terms.
• No Waiver: No failure or delay in exercising any right or remedy hereunder shall operate as a waiver thereof.
• Assignment: The right to use the Services is personal to the User and is not transferable by assignment, sublicense, or any other method to any other person or entity.
• Headings: All headings are for convenience only and shall not affect the construction hereof.
• Cumulative Remedies: The remedies herein provided are cumulative and not exclusive of any remedies provided by law.

These Terms may be amended at any time by CarmaOne. All such amendments shall be binding on the User effective 24 (twenty-four) hours after the amended Terms are made available on the Website. It shall be User’s sole responsibility to check this page regularly to take notice of any changes we may have made to these Terms. If User does not agree with any amendment, the User shall stop the usage of the Services with no liability from CarmaOne to User except in case of orders placed prior to the amendments.
