Know Your Business (KYB)

Know Your Business (KYB): Know Your Business (KYB) is the due diligence a lender performs on a legal entity to confirm it exists, is correctly registered, is represented by authorised signatories and is ultimately owned or controlled by identified individuals. In India it applies the RBI KYC Master Direction and the PML Rules to companies, LLPs, firms, proprietorships and trusts.

Why Know Your Business (KYB) matters in credit and collections

  • KYC verifies a natural person; KYB verifies an entity and then runs KYC on the people behind it — directors, partners, authorised signatories and beneficial owners.
  • Typical evidence: certificate of incorporation and CIN or LLPIN from MCA, entity PAN, GSTIN registration, Udyam registration for MSMEs, constitution documents, and a board resolution or authority letter for signatories.
  • Identifying the ultimate beneficial owner (UBO) — the natural person who owns or controls the entity above the threshold in the PML Rules — is a mandatory part of entity due diligence.
  • Registry data is cross-checked: the PAN embedded in the GSTIN should match the entity PAN, and the names on MCA, GST and Udyam records should reconcile with the application.

KYB vs KYC, the documents and the registry checks

KYC answers who a person is. KYB answers what an entity is and who stands behind it, and then runs KYC on those people. The entity layer covers legal existence and constitution; the individual layer covers directors, partners, trustees, authorised signatories and beneficial owners. A file can pass every individual KYC and still fail KYB if the entity is struck off, its registrations do not match, or the signatory has no authority to borrow.

The standard document set depends on constitution. A company provides its certificate of incorporation and CIN, memorandum and articles, entity PAN, a board resolution authorising the borrowing and the signatories, and details of senior management. An LLP provides its LLPIN and LLP agreement; a partnership firm its registration certificate and partnership deed; a proprietorship, which has no separate legal identity, typically two proofs of business activity such as GST registration and Udyam registration alongside the proprietor's KYC. The 15-character GSTIN embeds the entity's PAN, and the Udyam registration records MSME classification, so both double as cross-checks.

Each document is verified at source wherever possible: CIN and director data on the MCA portal, GSTIN status and filing history on the GST portal, PAN through the income-tax verification route and Udyam on the MSME portal. Names, addresses and identifiers are reconciled across all of them, and any mismatch — a trade name that differs from the legal name, a GST address that does not match the registered office — is resolved before credit appraisal.

Regulatory basis

The RBI Master Direction on Know Your Customer sets out customer due diligence for legal entities, including the documents to be obtained for companies, partnership firms, trusts and unincorporated associations, and requires identification of the beneficial owner. Beneficial ownership is defined by the Prevention of Money-laundering (Maintenance of Records) Rules, which set controlling-ownership thresholds by type of entity and require the natural person exercising control to be identified where no one crosses the threshold.

How lenders make KYB robust

  • Verify every identifier at its source registry rather than accepting a scanned certificate; registries are free and authoritative.
  • Trace ownership through layers — holding companies, trusts, nominee shareholders — until a natural person is reached.
  • Confirm that the person signing has board or partner authority for this specific borrowing, not a general mandate.
  • Reconcile legal name, trade name and addresses across MCA, GST and Udyam, and route mismatches to CPV or Field Investigation.
  • Refresh KYB periodically and on trigger events such as a change in directors, constitution or GST status.

Know Your Business (KYB) — frequently asked questions

Is KYB mandatory for business loans in India?

Yes, in substance. The RBI KYC Master Direction requires customer due diligence on legal entities and identification of their beneficial owners. The term KYB is industry shorthand for that entity-level process.

What is a UBO?

The ultimate beneficial owner: the natural person who ultimately owns or controls a business above the threshold set in the PML Rules, or who exercises control through other means. Lenders must identify and verify the UBO.

Is Udyam registration enough to prove a business exists?

It is self-declared, so it is a supporting document rather than proof on its own. Lenders combine it with GST registration, bank statements and verification to confirm the business actually operates.
